Energy Plans at a Glance
UTILITYnet offers several Energy Plan options to meet the varying needs and preferences of consumers. The following chart provides a comparison of your Energy Plan options. The rates associated with UTILITYnet's Energy Plans change periodically based upon normal supply and demand conditions in the Alberta marketplace, but any fixed rate agreed upon in your personal Energy Plan for a specific period of time shall remain the same. Further details of each plan can be found in section 2.2 below.

2.2
Energy Plan Options
The type of Energy Plan you choose will determine the rates you pay and how they are calculated. Subject to certain qualification requirements, you may have the following Energy Plan options:
(g)
Solar Club® - Micro-Generators that qualify as "small" Micro-Generators under the Micro-Generation Regulation, Alta Reg 27/2008 (a "Small Micro-Generator"), may participate in UTILITYnet's Solar Club®. A Solar Club® Member may receive the following benefits depending the Energy Plan they choose:
(i)
they may switch among a HI Rate, a LO Rate, a Variable Rate, or a Fixed Rate up to once per billing cycle to accommodate seasonal electricity generation fluctuations. PLEASE NOTE: if you are eligible for cash back payments and choose to switch to a rate that does not qualify, you will not receive cash back while paying the ineligible rate;
(ii)
up to 50% of the electricity imported from the grid by the Small Solar Micro-Generator will be offset using RECs purchased by UTILITYnet;
(iii)
they will earn cash back by way of a discounted rate (calculated using the Energy Marketer's then current discount rate) on all electricity imported from the grid by the Small Solar Micro-Generator, on an annual basis;
(iv)
if a Small Micro-Generator is billing at a Solar Club® HI Rate and the Rate of Last Resort ("RoLR") from ENMAX, EPCOR, or Direct Energy is higher than the current Solar Club® rate for that month, then the Small Micro-Generator will be billed for its imports and credited for its exports at the highest RoLR rate posted by ENMAX, EPCOR, or Direct Energy, rather than the Solar Club® HI Rate; and
(v) (iv)
they will earn cash back by way of a discounted rate calculated at the then current Solar Club® membership natural gas cash back percentage rate (which may change from time to time at UTILITYnet's sole discretion), for all physically delivered natural gas.
To qualify for Solar Club® membership, a Small Solar Micro-Generator must:
(vi) (v)
generate electricity from a micro-generation generating unit with a total nameplate capacity of less than 150 kW;
(vii) (vi)
be net billed using a bi-directional cumulative meter and not a bi-directional interval meter, and not be deemed to be a large micro-generator pursuant to the Micro-Generation Regulation, Alta Reg 27/2008;
(viii)(vii)
provide proof of its system's nameplate capacity, year of installation, and number of solar modules which may be evidenced by:
A.
a copy of its final installation invoice for its micro-generation generating unit, or invoice from the most recent upgrade; or
B.
a certificate or other attestation from a solar module installer; or
C.
a copy of its interconnection agreement with the Wires Distribution Company; and
(ix)(viii)
provide a donation to its local food bank.
Qualifying Customers may sign up for a Solar Club® 1-Year Energy Plan or a Solar Club® 3 2-Year Energy Plan at the rates set out in section 2.1 above. Qualifying Solar Club® 3-Year (HI or LO Rate) Energy Plan members and Solar Club® 1 2-Year HI Rate Energy Plan members may be entitled to cash back benefits as described in subsection 2.2(g) above and section 2.9 below. Solar Club members will be divided into groups based on their dates of enrollment (each a "Membership Group"). The HI Rate and LO Rate that apply to you and your Site at any given time will be determined by your Membership Group.
If a Small Micro-Generator installs additional solar modules on a Site and:
(x) (ix)
begins generating electric energy with a total nameplate capacity of 150 kW or more; and
(xi)(x)
is net billed using a bi-directional interval meter and not a bi-directional cumulative meter, it will become a large Micro-Generator ("Large Micro-Generator") as per the Micro-Generation Regulation, Alta Reg 27/2008, and will no longer qualify for Solar Club® membership. A Small Micro-Generator must promptly notify Customer Care if it becomes a Large Micro-Generator and the Site will be switched to the Micro-Generation Rate set out in subsection 2.2(h) below. Once UTILITYnet becomes aware that a Small Micro-Generator Customer has become a Large Micro-Generator, at its sole discretion, it may choose to make adjustments to the Customer's previously issued invoices, retroactive to the date the Customer became a Large Micro-Generator, to account for any difference between the Solar Club® Rate and the Micro-Generation Rate, and for any Solar Club® incentives paid or provided to the Customer after it ceased to qualify as a Solar Club® Member.

Solar Club® Automatic RateSwitch Program
(a)
The Solar Club® Automatic RateSwitch Program ("RateSwitch") is an optional program for all Solar Club® members that will automatically switch a Solar Club® member's Energy Plan rate between the HI Rate and the LO Rate applicable for their Membership Group to may help you accommodate electricity generation fluctuations, so that they you do not need to monitor their your accounts and submit Rate Option Change Requests to manually make these changes as per section 2.6 above. RateSwitch will only switch between a HI Rate and a LO Rate. Solar Club® members who want the option to change to a Variable Electricity Rate should not participate in RateSwitch and should make a change to a Variable Rate manually as described in section 2.6. If applicable, RateSwitch will automatically switch your Energy Plan rate:
(i)
between the HI Rate and the LO Rate appliable for your Membership Group;
(ii)
between the Variable Rate and the HI Rate applicable to the most recent Membership Group at the time of the switch;
(iii)
from a Promotional Rate to the HI Rate applicable to the most recent Membership Group at the time of the switch, and then later to the LO Rate applicable to the most recent Membership Group at the time of the first switch; or
(iv)
from a Fixed Rate to the HI Rate applicable to the most recent Membership Group at the time of the switch, and then later to the LO Rate applicable to the most recent Membership Group at the time of the first switch.

Solar Club® Electric Vehicle Cash Back Program.
(a)
In response to and to help offset the electric vehicle ("EV") tax implemented by the Alberta Government, UTILITYnet will provide qualifying Solar Club® members on Solar Club®3-Year Energy Plans or a Solar Club® 1 2-Year HI Rate Energy Plan Plans with an annual 5% cash back payment per year on one electricity and one natural gas account held by the Customer, per Customer Site and per battery EV ("EV Cash Back Payment") subject to the terms and conditions in this section 2.9. For example, if a Customer has two Sites at which it receives Energy Services from UTILITYnet and two battery EVs, the Customer may register to receive the EV Cash Back Payment for its electricity and natural gas accounts for its first Site and its second Site. If a Customer has two or more Sites and only one battery EV it may receive the EV Cash Back Payment for its electricity and natural gas accounts for one of its Sites. If the Customer has one Site and two or more battery EVs, it may receive the EV Cash Back Payment for its Site for one of its EVs.
(b)
To qualify to receive EV Cash Back Payments, a Customer must:
(i)
be a Solar Club® member as described in subsection 2.2(g) above, and must be on a Solar Club® 3-Year HI Rate Energy Plan, a Solar Club® 3-Year LO Rate Energy Plan, or a Solar Club® 12 -Year HI Rate Energy Plan for the duration of the applicable year. Large Micro-Generators are not eligible to receive EV Cash Back Payments. PLEASE NOTE: if you choose to switch to a rate that does not qualify for EV Cash Back Payments to accommodate seasonal electricity generation fluctuations as per subsection 2.2(g)(i) or for any other reason, you will no longer qualify to receive an EV Cash Back Payment;
(ii)
own and operate a battery EV and be paying the Alberta electric vehicle tax. For clarity this does not include electric motorcycles, electric off-highway vehicles, or hybrid vehicles, that are not subject to the electric vehicle tax;
(iii)
provide UTILITYnet with a copy of a valid Alberta Vehicle Registration Certificate (not an insurance certificate) annually, evidencing ownership of a battery EV and providing the make, model, year, Customer's name, Customer's address, and registration expiration date for the EV. The address on the Alberta Vehicle Registration Certificate must match one of the Customer's Site addresses; and
(iv)
inform UTILITYnet if the address on their Alberta Vehicle Registration Certificate changes or is different from any of their Site addresses.
(c)
A Solar Club® 3-Year Energy Plan member or Solar Club® 1 2-Year HI Rate Energy Plan member may only claim the EV Cash Back Payment for one EV per Site, and one Site per EV.
(d)
EV Cash Back Payments will be made in the first quarter of the calendar year after which the Solar Club® member qualifies and registers for EV Cash Back Payments.
(e)
The Customer is responsible for providing UTILITYnet with an updated Alberta Vehicle Registration Certificate annually upon renewal, in order to continue receiving EV Cash Back Payments.
(f)
Solar Club®3-Year Energy Plan members and Solar Club® 1 2-Year HI Rate Energy Plan members can register for the EV Cash Back program, provide required documents, and find out more information about the EV Cash Back program by contacting Customer Care at sunshine@solarclub.ca.

PAYMENT TERMS

9.1
Payment Options: You may pay your invoices by pre-authorized debit or by credit card (Visa or MasterCard only) in accordance with the provisions in this part 9 below. You may change your method of payment by contacting Customer Care. Depending on when you request a change to your method of payment, the change may not take effect in time to process your next invoice. If your new method of payment cannot be implemented in time to process your next invoice, it will be applied the following invoice.
9.2
Pre-Authorized Debit ("PAD") Payments: By If you will be paying your invoices with PAD payments, by entering into this Energy Agreement you are also agreeing to provide authorization for PAD payments to be withdrawn from your bank account to pay your invoices. As such:

Payment by Credit Card: You may pay your invoices using Visa or MasterCard ( "Credit Card"). If you pay using a Credit Card, by entering into this Energy Agreement, you are also authorizing UTILITYnet to charge the amount of each of your invoices to your Credit Card each billing cycle. For recurring Credit Card payments the following will apply:
(a)
YOU HEREBY ACKNOWLEDGE THAT YOU ARE PROVIDING YOUR EXPRESS AUTHORIZATION FOR THE BENEFIT OF UTILITYNET, TO PROCESS INVOICE PAYMENTS AND CREDITS BY CHARGING OR CREDITING YOUR CREDIT CARD. THESE PAYMENTS WILL BE AUTOMATIC (MERCHANT-INITIATED) AND UTILITYNET IS NOT REQUIRED TO VERIFY THE AMOUNT OF EACH AUTOMATIC PAYMENT OR OTHERWISE CONFIRM EACH PAYMENT BEFORE IT IS CHARGED TO YOUR CREDIT CARD;
(b)
YOU HEREBY AGREE THAT UTILITYNET MAY RETAIN AND STOREYOUR CREDIT CARD INFORMATION, OR CAUSE THIS INFORMATION TO BE RETAINED AND STORED FOR THE PURPOSE OF PROCESSSING YOUR PAYMENTS ON AN ONGOING BASIS;
(c)
YOU HEREBY WARRANT AND REPRESENT THAT THE DIGITAL SIGNATURE ON THIS ENERGY AGREEMENT ALSO ACTS AS A SIGNATURE TO AUTHORIZE YOUR CREDIT CARD PAYMENTS; if you withdraw this authorization, you will provide an alternate form of payment if there is any outstanding amount due and payable to UTILITYnet;
(d)
each payment made by Credit Card will be subject to a processing fee of 2.35% ( "Payment Processing Fee" ). The amount of the Payment Processing Fee charged for a Credit Card payment will appear on your next invoice;
(e)
in order to set up your Credit Card payments, you will need to provide your Credit Card number, expiry date, type of credit card, security code on the back of your Credit Card (CVC or CVV), billing address for your Credit Card, and your name as it is shown on your Credit Card. The name on your Credit Card must match your name on this Energy Agreement;

(f)
you will be responsible for contacting Customer Care to provide updated Credit Card information before your Credit Card expires, or if you Credit Card is lost, stolen, or replaced; and
(g)
if a Credit Card payment is declined, you will promptly provide payment using an alternate method and shall pay for any fees or charges incurred by UTILITYnet as a result of the declined Credit Card payment.

DEFINITIONS
(mm)
"RoLR" means the Rate of Last Resort as described in subsection 2.2(g)(iv) and defined in the Rate of Last Resort Regulation, Alta Reg 262/2005, as amended from time to time.

"Rural Electrification Association" means a not-for-profit cooperative incorporated under the Rural Utilities Act (Alberta) as may be amended from time to time, which possesses its own electric distribution systems.

"Security Deposit" has the meaning found in section 4.5.
(nn)(oo)
"Service Area" collectively means all of those areas to which the Energy Services may be provided. The Service Area DOES NOT INCLUDE:
(i)
Certain Rural Electrification Associations;
(ii)
Federation of Gas Co-operatives;
(iii)
The City of Medicine Hat; or
(iv)
any area outside the Province of Alberta.
(qq)(pp)
"Service Start Date" means the date on which you shall begin receiving Energy at your Site in accordance with this Agreement. The Service Start Date shall be specifically set out on your UTILITYnet Sign-up Form or as noted on the email notification sent to the Customer per Step 2 of the enrollment process.

"Site" means the residential home, commercial building, or other location identified in your UTILITYnet Sign-Up Form for which you require Energy Services. Unless otherwise specified, in this Energy Agreement "Site" shall be used to refer to one or more Sites.

"Small Micro-Generator" means a Micro-Generator that qualifies as a small Micro-Generator under the Micro-Generation Regulation, Alta Reg 27/2008, by generating electricity from a generating unit with a total nameplate capacity of less than 150 kW and that is net billed using a bi-directional cumulative meter.

"Stable Electricity Rate" has the meaning found in subsection 2.2(b).

"Stable Natural Gas Rate" has the meaning found in subsection 2.2 (d).

"Term" means the term of this Energy Agreement.

"Transaction Fee" applies to Variable Rates for Energy and has the meaning found in subsections 2.2(a) and 2.2(c).

"UTILITYnet Sign-up Form" means the UTILITYnet sign-up form located on the Energy Marketer's website.

"Wire Distribution Company" means one of the companies in Alberta that owns and operates a distribution system of lines, transformers and switches to provide electricity to residential and commercial premises.

INTEREST RATE FOR PRUDENTIAL PAYMENT
The interest rate paid on funds held in the Customer's prudential account will be calculated at 5.00% per annum.
